Language notice. These Terms of Service are a courtesy English translation of the French Conditions Générales de Vente binding on the Customer. In case of any discrepancy or conflict between the English and the French versions, the French version available at refresh.mov-studio.com/cgv/ shall prevail.
Article 1 — Preamble
These Terms of Service (hereinafter the « Terms ») constitute the entire agreement between the Provider and the Customer concerning the use of the REFRESH Labs service. They override any other document, exchange or contrary condition not expressly accepted in writing by the Provider.
The Customer's attention is specifically drawn to Articles 14 (Right of withdrawal), 15 (Waiver of withdrawal for immediate performance), 16 (Support terms — non-restorable Generations) and 18 (Commitment on non-retention of Generations). These articles define essential aspects of the service and the Customer is invited to read them carefully before subscribing.
Article 2 — Definitions
In these Terms, the following capitalised terms have the meaning set out below:
- « Service » or « REFRESH Labs »: the online tool accessible at https://refresh.mov-studio.com, allowing the AI-driven automated generation of an HTML redesign of an existing web page. REFRESH Labs redesigns individual web pages, not complete websites.
- « Web page »: a single publicly accessible URL containing HTML content, submitted by the Customer to the Service for processing. To be distinguished from a « website », which refers to a set of interconnected web pages.
- « Generation »: the output (HTML, CSS, JavaScript code) produced by the Service from a Web page submitted by the Customer.
- « FREE plan »: the free plan, capped at five (5) Generations per calendar day per IP address, with a visible watermark on the Generations.
- « PRO plan »: the paid subscription plan, with no plafond of reasonable use, no watermark, activated by a personal Access Key.
- « Access Key »: a unique string in the format

- « Customer »: any individual of legal age or legal entity subscribing to the Service.

Article 4 — Purpose of the Agreement
These Terms set out the conditions under which the Provider makes the REFRESH Labs Service available to the Customer : an online AI-driven tool assisting in the graphical and structural redesign of individual web pages.
The Service is made available as « Software as a Service » (SaaS), hosted by the Provider. The Customer acquires no software licence as such but benefits from a right to access and use the Service during the subscription period (PRO plan) or session (FREE plan).
Scope of the Service. REFRESH Labs takes as input a URL pointing to a single publicly accessible Web page and returns a redesigned version of that Web page. The Service does not process multi-page trees, does not crawl a complete website, and does not generate a multi-page interconnected website. Submitting several distinct URLs consumes one Generation credit per URL.
Article 5 — Description of the Services
REFRESH Labs provides the following functionalities:
- Automated capture of the content of a publicly accessible Web page submitted by the Customer (headless rendering, no cookies, no authentication);
- Analysis of the structure and content of the Web page by third-party generative AI models;
- Production of a Generation: self-contained HTML code, together with associated style sheets and scripts;
- Refinement (PRO plan only) through iterative text instructions on the Generation produced;
- Export as static HTML, copyable / downloadable by the Customer during the active session.
The Service is offered under two plans:
- FREE plan: five (5) Generations per calendar day per IP address, with a visible « Made with REFRESH » watermark and no access to refinement.
- PRO plan: €49 per month, Generations without unreasonable cap, no watermark, access to refinement, activated through a personal Access Key.
Article 6 — Eligibility
Access to the Service is reserved for adult individuals having the legal capacity to enter into a contract, and for legal entities represented by a duly authorised person. The Service is not aimed at minors and is not advertised to minors.
A Customer subscribing to the PRO plan declares to act either as a consumer (within the meaning of French consumer law) or as a professional in the course of their business. The protective provisions of consumer law apply exclusively to consumer Customers.
Article 7 — Acceptance of the Terms
Use of the Service implies full and unconditional acceptance of these Terms. For the PRO plan, acceptance is expressly formalised by:
- the mandatory acceptance checkbox in the Stripe checkout funnel (terms of service consent) before payment validation;
- failing the above for technical reasons, acceptance of these Terms results unambiguously from subscription and payment, with the effective use of the Service constituting its confirmation.
The Provider keeps a time-stamped record of acceptance for evidentiary purposes, in accordance with article 1366 of the French Civil Code. The version of the Terms in force at the subscription date binds the Customer, subject to modifications notified pursuant to Article 25 below.
Article 8 — Subscription and activation
Subscription to the PRO plan is made from refresh.mov-studio.com, via redirection to Stripe's secure checkout funnel. The Customer provides their email address, payment means, and accepts these Terms.
Upon payment confirmation by Stripe, the Service automatically generates an Access Key and sends it to the Customer's email address. The activation delay is typically less than two (2) minutes, subject to proper email delivery by the Customer's email provider.
If the Access Key has not been received within 24 hours, the Customer is invited to: check their « spam » / « junk » folders, then contact contact@mov-studio.com specifying the email address used at subscription. A manual re-issuance of the Key will be performed at no cost. As a reminder, REFRESH Labs redesigns individual web pages, not complete websites: the subscription does not include any automatic multi-page generation.
Article 9 — Price and VAT
The REFRESH Labs PRO subscription is invoiced at forty-nine euros (€49.00) per calendar month, with no minimum commitment.
The Provider being under the French VAT exemption regime, VAT is not applicable (article 293 B of the French General Tax Code). Prices displayed are net of any tax. Invoices issued bear the mention: « VAT not applicable, article 293 B of the French General Tax Code ».
The Provider may unilaterally modify the subscription price; any modification will be notified to the Customer by email at least thirty (30) days before taking effect. The Customer is free to terminate their subscription at no cost before the new price takes effect, in accordance with Article 12.
The FREE plan is free of charge and shall remain so unless and until otherwise stated on the Service's home page.
Article 10 — Payment terms
Payments are processed exclusively online by credit/debit card through the payment provider Stripe Payments Europe Ltd. (Dublin, Ireland), licensed as a payment institution by the Central Bank of Ireland. The Provider never accesses the Customer's banking data, which is collected and processed directly by Stripe under its own terms and PCI-DSS standards.
Payment is monthly recurring. The first payment occurs on the day of subscription, subsequent payments on the same date each month (or on the last day of the month if the original date does not exist), until termination by either party.
In case of payment failure, Stripe automatically performs several retry attempts. The Customer is informed by email. See Article 13 (Termination by the Provider) for consequences of prolonged failure.
Article 11 — Term and renewal
The PRO subscription is entered into for an initial term of one (1) month from the subscription date. It is then tacitly renewed for successive periods of one (1) month, on the anniversary date, unless terminated under Article 12 or 13.
No minimum commitment period is imposed on the Customer: termination may occur at any time, taking effect at the end of the current monthly period.
Article 12 — Termination by the Customer
The Customer may terminate their subscription at any time, without notice or justification, by:
- using the Stripe customer portal, accessible via the link provided in the subscription confirmation email (termination in three clicks maximum);
- sending an email to contact@mov-studio.com from the email address associated with the subscription, with the subject line « Cancel REFRESH PRO »;
- under article L.215-1 of the French Consumer Code, by any means allowing the preservation of a written record.
Termination takes effect at the end of the current monthly period, fully paid. No prorated refund is granted for the current period, subject to the right of withdrawal of Article 14 and to the Refund Policy.
Access to the Service and the Access Key remain functional until the end of the paid period. Upon expiry, the Key is automatically revoked.
Article 13 — Termination by the Provider
In case of persistent non-payment after Stripe's automatic retry attempts, the Provider will inform the Customer by email. The Customer will have seven (7) calendar days to remedy the situation. Failing this, the subscription will be automatically terminated and the Access Key revoked.
The Provider reserves the right to terminate the subscription as of right, without notice and without compensation, in case of:
- manifest abusive use of the Service (attempts to circumvent quotas, unauthorised automation, sharing of the Access Key with third parties, attack against the Service's availability);
- submission of URLs contrary to public order, French or European law, or infringing third-party rights (counterfeiting, harassment, child sexual abuse material, glorification of terrorism, etc.);
- fraud or attempted payment fraud (abusive chargeback, use of misappropriated payment means).
In case of permanent discontinuation of the Service by the Provider, subscribed Customers will be informed by email with thirty (30) days' notice. Their subscription will remain active until the end of the current monthly period, with no further billing. A refund of payments already made corresponding to unconsumed periods will be offered.
Article 14 — Right of withdrawal
In accordance with articles L.221-18 and following of the French Consumer Code, the consumer Customer has a period of fourteen (14) days from the conclusion of the contract (subscription validated by payment) to exercise their right of withdrawal, without having to justify any reason and without penalty.
To exercise this right, the Customer may:
- use the standard withdrawal form set out in the Schedule to these Terms (article R.221-1 of the French Consumer Code);
- send any other unequivocal statement to contact@mov-studio.com from the email address associated with the subscription.
A full refund will be issued within a maximum of fourteen (14) days after receipt of the request, using the same payment means as at subscription, unless the Customer expressly agrees to another means at no cost. This right applies subject to Article 15 below.
Article 15 — Waiver of withdrawal for immediate performance
In accordance with article L.221-28, 1° of the French Consumer Code, a Customer who wishes to obtain immediate performance of the Service before the expiry of the fourteen (14) day withdrawal period is invited to give their prior express consent to this immediate performance, and to expressly waive their right of withdrawal for the portion of the Service that has actually been performed before they withdraw.
In practice: from the moment the Access Key is delivered and the first Generation is produced at the Customer's request, the Customer acknowledges having received a fully performed service for the portion consumed. The right of withdrawal nevertheless remains applicable for the unconsumed portion of the monthly subscription, within the fourteen (14) day window, and the refund will then cover the unused prorata.
As an additional commercial gesture, and independently of the strict application of article L.221-28, 1°, the Provider operates in practice a full-refund-on-request policy within 14 days, as detailed in the Refund Policy.
Article 16 — Support terms and non-restorable Generations
Support is provided exclusively by email at contact@mov-studio.com, in French or in English, Monday through Friday, with a target response time of forty-eight (48) business hours.
Non-restorable nature of Generations. Due to the Service's architecture (see Article 18 — Non-retention commitment), past Generations are not retained by the Provider after session expiry and cannot under any circumstances be restored. It is the Customer's responsibility to copy, download and save the produced Generation before the end of their active session.
Probabilistic nature of artificial intelligence. Generations are produced by statistical language models; the same URL submitted twice in a row will produce two noticeably different Generations. No guarantee of identical reproducibility is offered.
Policy in case of documented technical failure:
- PRO Customers benefit from Generations with no unreasonable cap: it is up to them to retry the generation using their Access Key. No additional credit is required.
- FREE Customers, in case of a technical failure attributable to the Provider (HTTP 5xx error returned by the Service, unavailability of the third-party AI model), retain their daily quota intact: the failed attempt is not counted. The Customer is invited to retry the generation.
As a reminder, REFRESH Labs redesigns individual web pages, not complete websites: support therefore does not include any assistance with migration or assembly of a multi-page website from the Generations.
Article 17 — Availability of the Service
The Provider undertakes to implement reasonable means to achieve Service availability of approximately 99% over a calendar month, excluding planned maintenance windows and force majeure (Article 24).
No contractual service level agreement (SLA) is granted beyond this target. Interruptions of less than seven (7) consecutive days give rise to no indemnity. Interruptions of more than seven (7) consecutive days attributable to the Provider give rise, at the Customer's request, to a credit prorated to the days of unavailability, in accordance with the Refund Policy.
Article 18 — Commitment on non-retention of Generations
The Provider contractually undertakes, under these Terms, not to durably retain Generations produced for the Customer, nor URLs submitted by the Customer, beyond what is strictly necessary to provide the Service.
Concretely:
- Generations and submitted URLs are stored in temporary memory (Redis cache) for the duration of the generation session, capped by an automatic purge delay of one (1) hour from the Customer's last interaction with the session;
- Upon expiry of this one (1) hour delay, Generations and URLs are automatically and permanently purged without any human intervention by the Provider being possible to restore them;
- No backup, no detailed application log, no export, no copy of the Generations or URLs is kept beyond this delay.
This contractual commitment serves both as a confidentiality guarantee for the Customer and as the operational justification for the non-restorable nature of past Generations (Article 16). Detailed retention periods by data category are set out in the Privacy Policy (Generations: 1 hour; transactional data: 10 years; server logs: 12 months; FREE marketing emails: 3 years from last interaction).
Article 19 — Maintenance, evolution and interruptions
The Provider reserves the right, without specific prior notice to the Customer, to temporarily interrupt the Service for maintenance, updates, infrastructure migration or incident remediation. Maintenance windows are scheduled, as far as possible, outside French business hours.
The Provider continuously evolves the Service: new features, interface changes, adjustments to AI prompts, updates to third-party AI models. These evolutions are included in the subscription at no additional cost and shall not, except where they entail a substantial degradation of the essential features described in Article 5, justify unilateral termination of the contract by the Customer outside the modalities set forth in Article 12.
Article 20 — Intellectual property of Generations
The Generations produced by REFRESH Labs (HTML, CSS, JavaScript code and any associated static assets) are the full and entire property of the Customer from the moment of their production. The Customer may use them for personal or commercial purposes without restriction: resale to third-party clients, integration into projects, modification, derivation, etc.
The Provider claims no intellectual property rights over the Generations and grants the Customer, to the extent needed, a non-exclusive, worldwide, perpetual, irrevocable and transferable license over any element of the Service that may have been incorporated into the Generation (templates, snippets, utility classes).
The Customer nevertheless remains solely responsible for:
- the respect of third-party rights attached to the original Web page submitted (copyrights on text, images, original design);
- the use they make of the Generations vis-à-vis their own clients or third parties;
- the lawfulness of the final content they publish based on the Generation.
The Provider retains all intellectual property rights over the Service itself (back-end source code, infrastructure, REFRESH Labs trademark, graphic charter of the site, etc.), which are in no way assigned to the Customer.
Article 21 — Personal data
Processing of the Customer's personal data is governed by the Privacy Policy available at https://refresh.mov-studio.com/en/confidentialite/, which details in particular: purposes, legal bases, sub-processors, retention periods by category (Generations 1 hour / transactional 10 years / server logs 12 months / FREE marketing 3 years), and the Customer's rights.
The Customer may exercise their rights of access, rectification, erasure, objection, restriction, portability and withdrawal of consent at any time by writing to contact@mov-studio.com.
Article 22 — Customer obligations
The Customer undertakes to:
- provide accurate, up-to-date and complete information at subscription;
- only submit to the Service URLs of Web pages which they are legitimately entitled to have analysed automatically (publicly accessible pages, or pages for which they have obtained the right holder's authorisation);
- not use the Service for illegal or immoral activities (in particular: creation of counterfeit pages, phishing, scams, hateful content, child sexual abuse material, or content impairing human dignity);
- not attempt to circumvent the Service's security measures (Cloudflare Turnstile, quotas, Access Key authentication, etc.);
- keep their Access Key
LABS-XXXX-XXXX-XXXXconfidential and notify the Provider without delay of any compromise; - not perform reverse engineering, mass scraping, nor use the Service in violation of its terms of use (including sharing the Access Key across multiple users).
Article 23 — Liability and limitations
REFRESH Labs is an AI-assisted generative tool. The Provider does not warrant the perfection, legal conformity or fitness for any particular purpose of the Generations produced, which may require manual adjustments, proofreading or corrections by the Customer.
The Provider shall not be liable for:
- the subjective quality of Generations;
- errors, inaccuracies, omissions or inappropriate content produced by the third-party AI models used;
- the Customer's use of Generations vis-à-vis their own clients or third parties;
- direct or indirect consequences of using the Service (loss of revenue, loss of contracts, loss of data, reputational harm, etc.);
- disputes between the Customer and third parties (in particular, the right holders of the original Web page);
- interruptions, slowdowns or malfunctions related to maintenance, updates, technical incidents or performance of third-party services (Stripe, Cloudflare, Anthropic, Postal, etc.);
- non-receipt of the Access Key email due to anti-spam filtering or restrictive configurations at the Customer's email provider.
In any event, save for gross or intentional fault, the Provider's liability is limited to the total amount actually paid by the Customer over the twelve (12) months preceding the event giving rise to the dispute.
Article 24 — Force majeure
The Provider shall not be held liable for any failure to perform its obligations resulting from a case of force majeure within the meaning of article 1218 of the French Civil Code, or from events reasonably beyond its control, in particular: generalised internet outage, major hosting or telecommunications operator failure, prolonged unavailability of a critical third-party service (Stripe, Cloudflare, AI model), cyberattack, natural disaster, armed conflict, governmental measure or judicial decision preventing performance.
If a case of force majeure continues for more than thirty (30) consecutive days, either party may terminate the contract as of right, without compensation. Sums paid for unconsumed periods will be refunded to the Customer.
Article 25 — Modification of the Terms
The Provider reserves the right to modify these Terms at any time. Any substantial modification (in particular regarding price, term, termination terms, Customer rights, liability limitations) will be notified to the Customer by email at least thirty (30) days before its entry into force.
The Customer may terminate the subscription at no cost if the new Terms are not acceptable, by notice sent to contact@mov-studio.com before the new Terms take effect. Failing such notice, continued use of the Service after the new Terms have come into force shall constitute acceptance thereof.
The Terms currently in force are always accessible at https://refresh.mov-studio.com/en/cgv/ with the entry-into-force date. Previous versions are archived and provided upon request at contact@mov-studio.com.
Article 26 — Mediation, governing law and jurisdiction
26.1 Prior consumer mediation. Under article L.616-1 of the French Consumer Code, the consumer Customer may, in case of a dispute with the Provider and after an unsuccessful attempt at amicable written resolution with the Provider lasting sixty (60) days, refer the dispute free of charge to a consumer mediator.

26.2 Online Dispute Resolution (ODR). A consumer Customer residing in the European Union may also use the European Commission's ODR platform: https://ec.europa.eu/consumers/odr.
26.3 Governing law. These Terms are governed by French law, excluding its conflict-of-laws rules. For consumer Customers residing in the European Union, the more protective mandatory provisions of the country of habitual residence remain applicable (article 6 of the Rome I Regulation).
26.4 Jurisdiction. Failing amicable resolution or mediation, any dispute relating to the formation, interpretation, performance or termination of these Terms shall be brought:
- before the competent courts of the jurisdiction of Clermont-Ferrand, France, for professional Customers;
- before the court of the consumer Customer's choice in accordance with article R.631-3 of the French Consumer Code (court of the place of their residence at the conclusion of the contract or of occurrence of the harmful event).
